2. Description of Services
Tenbit Solution provides hospitality-focused digital services, including but not limited to website design and development, booking-engine integration, social media management, photography and videography, branding, IT infrastructure and AI-driven guest automation. The exact scope, deliverables and timeline for any engagement are defined in a separate proposal, quote or contract agreed with the client.
3. Client Responsibilities
To deliver our Services effectively, we rely on timely cooperation from our clients. You agree to:
- Provide accurate business information, content, and access credentials required for the project
- Review and approve deliverables within the timeframes agreed for each project stage
- Ensure you have the rights to any content, images or trademarks you supply to us
- Make payments according to the agreed schedule
4. Fees & Payment Terms
Fees for our Services are set out in your proposal or contract. Unless otherwise agreed, projects require a deposit before work begins, with the remaining balance due on agreed milestones or at project completion. Late payments may result in a pause of work until the account is brought current. Ongoing retainers are billed in advance on a recurring basis.
5. Project Timelines & Delivery
Estimated timelines are provided in good faith based on the scope agreed at the outset. Delays caused by late content, feedback, or approvals from the client may extend the delivery date accordingly. We will communicate promptly if we anticipate any change to an agreed timeline.
6. Intellectual Property Rights
Upon full payment, ownership of the final website, designs and other agreed deliverables transfers to the client, excluding any third-party licensed assets, stock photography, fonts or software, which remain subject to their original licences. Tenbit Solution retains the right to showcase completed work in our portfolio and marketing materials unless otherwise agreed in writing.
7. Confidentiality
Both parties agree to keep confidential any non-public business, financial or technical information shared during the course of the engagement, and to use it only for the purposes of delivering or receiving the Services.
8. Limitation of Liability
To the maximum extent permitted by law, Tenbit Solution's total liability for any claim arising from our Services is limited to the amount paid by the client for the specific Services giving rise to the claim. We are not liable for indirect, incidental or consequential damages, including lost bookings or lost profits, except where such liability cannot be excluded under applicable law.
9. Termination
Either party may terminate an engagement in accordance with the notice period set out in the applicable contract. Fees for work completed up to the termination date remain payable. Tenbit Solution reserves the right to suspend or terminate Services immediately in the event of non-payment or a material breach of these Terms.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of Italy. Any disputes arising from these Terms or our Services will be subject to the exclusive jurisdiction of the courts of Italy, unless otherwise required by applicable consumer protection law.
11. Changes to These Terms
We may update these Terms from time to time to reflect changes in our Services or legal requirements. We will post any updates on this page with a revised "Last Updated" date. Continued use of our website or Services after changes are posted constitutes acceptance of the revised Terms.
